3. Open Source Software

Your use of these open-source products is governed by their respective licenses. Commercial licensing for Arc is available separately — contact enterprise@basekick.net for details.

5. Intellectual Property
The Basekick Labs name, logo, and branding are the property of Basekick Labs LLC. The content on basekick.net (excluding open-source code) is protected by copyright. Open-source software is provided under their respective licenses as described above.
6. Arc Enterprise and Paid Services
Arc Enterprise Managed and any paid service not listed below are subject to separate agreements. Pricing, features, and terms for those services are described on their respective product pages and in the applicable service agreement.
The following terms apply to Arc Enterprise licenses purchased online at basekick.net (Tier I and Tier II) and, unless a signed agreement says otherwise, to licenses sold through sales:
- License grant. Basekick Labs LLC grants you a non-exclusive, non-transferable license to run Arc Enterprise for the term you paid for, up to the number of CPU cores and machines of your tier, for your internal business purposes. The license key is bound to your hardware and may not be shared, resold, or used to provide Arc as a service to third parties.
- Term and renewal. Licenses are annual. Online purchases are billed as a yearly subscription that renews automatically at the then-current price for your tier unless you cancel before the renewal date. You can cancel from the Stripe customer portal linked in your receipt or by emailing enterprise@basekick.net. Cancellation stops the next renewal; your license remains valid until the end of the paid term.
- Upgrades. You may move to a higher tier at any time by paying the prorated difference for the remainder of your term; a new license key is issued for the higher tier.
- Delivery. License keys are issued manually and emailed to the technical contact provided at checkout within one business day of payment.
- Refunds. If the license fails to activate on your infrastructure and we cannot resolve it, you may request a full refund within 30 days of purchase. Beyond that, fees are non-refundable. Renewal charges are refundable in full if requested within 14 days of the renewal date and the renewed license has not been activated.
- Expiry. License keys include a 14-day grace period beyond the paid term with full functionality. After that, enterprise features are disabled and Arc reverts to open-source behavior; ingestion and queries continue to work. Your data is never deleted or locked by expiry.
- Taxes. Prices exclude taxes. Applicable sales tax or VAT is calculated at checkout based on your billing address and tax ID.
- Support. Support channels and response targets for each tier are described on the Arc Enterprise page and apply for the license term.
